Welcome to VocalisVN AI. Before using our software, applications, or website services (collectively, the "Services"), please read these Terms of Service carefully. By installing, registering an account, activating a License Key, or using any feature of the Services, you confirm that you have read, understood, and unconditionally agreed to all terms and conditions specified below.

If you do not agree with any terms of this document, please stop using the Services immediately and uninstall the software from all your devices.

ARTICLE 1. DEFINITIONS AND SCOPE OF APPLICATION

  1. VocalisVN AI (or "We", "Management"): The owner, developer, and provider of the desktop application for Vietnamese and English text-to-speech (TTS) voice cloning and its online support systems.
  2. Customer (or "User", "You"): Any individual or organization registering for a trial, purchasing a license, or directly interacting with/using the features of VocalisVN AI.
  3. License Key (Activation Key): The licensing code provided to the Customer to activate paid features of VocalisVN AI on one or more devices according to current policies.
  4. Output Audio (Synthesized Audio): The audio files generated in formats (WAV, MP3, FLAC, M4A, OGG...) after the user converts input text using VocalisVN AI.
  5. Governing Law: The legal system currently in force in the Socialist Republic of Vietnam.

ARTICLE 2. INTELLECTUAL PROPERTY RIGHTS OF THE SOFTWARE

  1. All source code, software architecture, speech processing algorithms, user interface, logos, trademarks, and documentation are the exclusive intellectual property of VocalisVN and are protected by Vietnamese Intellectual Property Law and international IP treaties to which Vietnam is a party.
  2. We only grant the User a limited, personal, non-exclusive, non-transferable, revocable license to use the software (License to use) for personal or commercial purposes, subject to compliance with these Terms of Service.
  3. The User is prohibited from:
    • Copying, modifying, decompiling, reverse engineering, or attempting to extract the source code of VocalisVN AI.
    • Renting, leasing, sharing the activation license, or distributing the software to any third party without our prior written consent.
    • Removing any copyright notices, trademarks, or proprietary markings on the software.

ARTICLE 3. OWNERSHIP AND USAGE RIGHTS OF OUTPUT AUDIO

  1. Ownership: We acknowledge that the Customer owns all output audio files validly synthesized through VocalisVN AI, provided that the input text is owned by or legally licensed to the Customer.
  2. Commercial Rights: The Customer has the full right to use output audio files for commercial or non-commercial purposes (including YouTube/TikTok videos, podcasts, e-learning, phone systems, audiobook narration...) with no recurring royalty fees beyond the initial License Key purchase.
  3. Content Responsibility: The Customer is solely and independently responsible for the legality of all input text and the use of the output audio. We are not responsible for any copyright infringement or legal violations arising from your text or audio content.

ARTICLE 4. PROHIBITED USES AND COMPLIANCE

In compliance with the Cyber Security Law No. 24/2018/QH14, Penal Code, and current Vietnamese regulations, the Customer is strictly prohibited from using VocalisVN AI for:

  1. Subversion: Propaganda, distortion, or defamation of the state; spreading contents of psychological warfare or incitement.
  2. Fraud and Scam: Using synthesized voice clones to impersonate individuals, relatives, government agencies, or financial institutions for fraud, threats, or extortion.
  3. Defamation and Slander: Creating audio files to defame, slander, or harm the reputation, honor, or dignity of any organization or individual.
  4. Deepfakes & Fake News: Simulating voices of celebrities, politicians, or any individual without their prior written consent to manipulate public opinion or spread fake news.
  5. Copyright Infringement: Inputting texts that violate third-party intellectual property rights (such as unlicensed books, news articles, stories) to generate audio for illegal commercialization.
  6. System Attacks: Using automated scripts or unofficial APIs to spam language normalization engines or disrupt server stability.

ARTICLE 5. COPYRIGHT PROTECTION & DIGITAL AUDIO WATERMARKING

  1. To protect the community and prevent voice simulation scams, we reserve the right to embed an inaudible digital audio watermark into all output audio files.
  2. An audio watermark is an invisible digital signature embedded in the audio frequencies. It contains user identification info (Machine GUID or License Key) of the client who generated the file.
  3. In case of legal disputes, copyright claims, or official requests from police/investigative authorities in Vietnam, this watermark will serve as evidence to trace the source of the audio file.
  4. The Customer agrees not to remove, destroy, or alter this audio watermark in any form.

ARTICLE 6. LICENSE KEY REGISTRATION AND TRIAL CONDITIONS

  1. Registration Information: When registering for a trial or purchasing a License Key, you must provide accurate, complete information (Name, Email, Phone) for warranty and license retrieval purposes.
  2. Trial Policy: We offer a limited-time free trial (e.g., 3 days from installation) for users to evaluate the voice quality. Upon trial expiration, core features will lock automatically until a valid License Key is entered.
  3. License Security: Each License Key is locked to a specific computer (linked to the system Hardware GUID via Registry/Ioreg). You are responsible for keeping your License Key secure. If a License Key is found to be leaked, abused, or distributed online, we reserve the right to block it permanently without refund or compensation.

ARTICLE 7. PRIVACY POLICY COMPLIANCE

  1. We protect Customer personal data in compliance with Decree No. 13/2023/ND-CP on Personal Data Protection.
  2. Data Collection: We only collect device identifiers (Hardware GUID) and registration details (Email, Phone) to manage software licenses. We do NOT record, copy, or store private text input from the desktop app for any purposes other than temporary processing during your session.
  3. Data Sharing: We do not sell, trade, or share your personal data with third parties except with your consent or to comply with official written requests from police, procuracy, or courts in Vietnam.

ARTICLE 8. LIMITATION OF LIABILITY

  1. Services are provided on an "As-Is" and "As-Available" basis. We make no warranty that services will be 100% error-free or uninterrupted, or that synthesized voices will be compatible with all hardware.
  2. Under no circumstances shall We be liable for any direct, indirect, incidental, or consequential damages (including loss of revenue, business interruption, data loss, or legal fines) arising from the use or inability to use the Services.
  3. Our maximum liability for any claims related to the Services shall not exceed the total amount paid by the Customer to Us for the License Key during the three (3) months prior to the dispute.

ARTICLE 9. PAYMENT AND REFUND POLICY

  1. The Customer voluntarily pays licensing fees in accordance with the official prices published on the website or through authorized agents.
  2. Since we provide a free trial for Customers to test features on their devices before purchasing, we do NOT offer refunds under any circumstances once the License Key has been delivered and activated.

ARTICLE 10. GOVERNING LAW AND DISPUTE RESOLUTION

  1. These Terms of Service are governed by and construed in accordance with the laws of Vietnam.
  2. Any disputes arising from or related to the Services shall first be resolved through friendly negotiations and mediation.
  3. If mediation fails within thirty (30) days, either party has the right to bring the dispute before the competent courts in Vietnam (defaulting to the court in the city of our headquarters).

ARTICLE 11. MISCELLANEOUS

  1. These Terms constitute the entire legal agreement between You and Us regarding the use of VocalisVN AI.
  2. We reserve the right to update these terms at any time. Updates take effect immediately upon being posted on our official website. Continued use of the Services after updates constitute acceptance of the updated terms.
